Governance & ANBI Compliance

Transparent organization and compliance with Dutch ANBI (Public Benefit Organization) requirements.

Board & Organization

  • Composition: The Foundation is governed by a board of at least three members: a Chair, Secretary, and Treasurer.
  • Remuneration: Board members serve without financial compensation, except reimbursement for necessary expenses.
  • Representation: The Foundation is represented by the full board or two board members jointly, one of whom is the Chair or Treasurer.
  • Integrity & Conflict of Interest: Decisions are made in accordance with the statutes; potential conflicts of interest are recorded and published when relevant.
  • Meetings: Held physically or digitally as required, with minutes archived for transparency.

Purpose & Activities

Mission:

To build a safer and more trustworthy digital world by developing and maintaining open-source protocols for identity, privacy, and digital trust.

Public Benefit Objective:

The Foundation serves the public interest and operates entirely without profit motive. All proceeds are reinvested in activities that advance secure and transparent online interaction.

Core Activities:

  • Open-Source Development: Design, program, and publish open-source protocols and software (e.g. Web of Trust Protocol, Kubo demo app).
  • Education & Awareness: Promote digital literacy, privacy awareness, and responsible online identity — with a focus on children and youth through Operation Kidst.
  • Infrastructure Management: Maintain servers, repositories, and knowledge platforms supporting the open-source ecosystem.
  • Research & Collaboration: Participate in conferences and work with developers, researchers, and organizations worldwide to strengthen digital integrity.
  • Applied Development: Establish or co-own social enterprises (e.g. Kubo B.V.) that generate returns exclusively for public benefit projects.

Financial Policy & Transparency

Funding Sources:

  • Donations and contributions from individuals and companies
  • Grants and subsidies from public or private funds
  • Proceeds from participations (e.g. Kubo B.V.)
  • Collaborative project funding

Use of Funds:

All income supports the Foundation's statutory objectives. A modest reserve is maintained only to ensure operational continuity.

Tax Benefits (ANBI Status):

As an Algemeen Nut Beogende Instelling (ANBI), the Foundation enjoys and provides the following tax advantages:

  • Exemption from gift and inheritance tax on donations and legacies received.
  • Exemption from corporate income tax on funds used to achieve the foundation's public objectives.
  • Donor deduction: Gifts from individuals and companies are tax-deductible within the conditions set by the Belastingdienst.
  • Periodic gifts (recorded for a minimum of five years in a written agreement) are fully deductible, without thresholds or limits.

Publication & Accountability:

In accordance with ANBI rules, the Foundation publishes annually:

  • Board composition and policy plan
  • Financial report and activity summary
  • Remuneration policy
  • RSIN number and contact details

Annual Reporting:

Reports are published within six months after year-end, no later than 30 June.

Dissolution Clause:

If the Foundation is dissolved, any remaining assets will be transferred to a comparable ANBI organization with a similar purpose.
